Bio

Rosy Worsfold focuses on international public and private M&A and capital markets transactions, and also regularly advises on corporate governance matters.

Ms. Worsfold’s experience includes advising:

  • Spotify AB on its acquisition of Sonantic Limited, a London-based AI voice platform;
  • Gyroscope Therapeutics Holdings plc on its acquisition by Novartis for up to $1.5 billion;
  • Nightstar Therapeutics plc on its US$800 million acquisition by Biogen Inc.;
  • Cineworld Group PLC on its US$5.9 billion acquisition of Regal Entertainment Group;
  • Build a Rocket Boy Limited on its Series C financing;
  • Phoenix Group Holdings on its:
    • £3.1 billion acquisition of ReAssure Group plc from Swiss Re AG; and
    • £735 million rights issue and related £935 million acquisition of Abbey Life from Deutsche Bank AG;
  • MJ Gleeson plc on its £16.4 million placing of shares listed on the London Stock Exchange to existing shareholders and other institutional investors;
  • Freeline Therapeutics Holdings plc on its ATM programme, $26.1 million registered direct offering with Syncona Portfolio Limited and up to $35 million equity purchase agreement with Lincoln Park Capital Fund, LLC, as well as various corporate governance matters;
  • Nexwell Power on its establishment of a €110 million note issuance facility;
  • I Squared Capital on its portfolio company’s acquisition of PEMA Group from Société Générale; and
  • Colfax Corporation on the US$860 million sale of its fluid handling business to CIRCOR International, Inc.

Ms. Worsfold is actively involved in a number of pro bono projects, including working with Coram Children’s Legal Centre to provide nationality assistance to children with a right in law to become British citizens; Asylum Aid on representing individuals seeking statelessness status in the U.K.; a clinic that assists victims of domestic violence; and the Social Impact Investment Taskforce on various matters. She also has worked on a number of research projects, including on the international and domestic legal frameworks governing hostage-taking by states, applying a gender lens to the UN Guiding Principles on Business and Human Rights, and assisting on the Human Dignity Trust’s report on the criminalisation and human rights abuses suffered by transgender and gender-diverse people across the world.
