Andreas Kafetzopoulos focuses on European and international antitrust/competition law.

Bio

Mr. Kafetzopoulos provides strategic advice to multinational corporations on complex cross-border merger control cases and multijurisdictional cartel and abuse of dominance investigations. He also advises clients on the antitrust aspects of joint venture and cooperation agreements, license and technology transfer agreements, supply and distribution agreements, and global compliance programs. Mr. Kafetzopoulos represents clients before the European Commission, the European courts and major antitrust regulators around the world. His experience covers a diverse range of industries, including aviation, information and communication technology, insurance, pharmaceuticals, chemicals and petrochemicals, nuclear energy, renewables, mining, automotive and engineering. In recognition of his work, he has been named to Who’s Who Legal: Competition Future Leaders.

Mr. Kafetzopoulos has acted for:

  • Air Products and Chemicals, Inc. in its US$3.8 billion sale of the performance materials division of its materials technologies segment to Evonik Industries AG (Germany);
  • Black Diamond Capital Management, L.L.C., along with Investindustrial (Luxembourg), in their US$425 million acquisition of the phenolic specialty resin, hexamine and European forest products resins businesses of Hexion Inc.;
  • DENTSPLY International Inc. in its US$13.3 billion merger-of-equals with Sirona Dental Systems Inc.;
  • Embraer S.A. (Brazil) in the European Commission’s Phase II investigation into the proposed US$4.2 billion sale of an 80% stake in its commercial aircraft and services business to The Boeing Company;
  • GE Aviation before the European Commission in relation to its settlement with the International Air Transport Association (IATA), as a result of which IATA withdrew its March 2016 antitrust complaint that it had filed with the European Commission;
  • Honeywell International Inc. in its US$1.3 billion acquisition of Sparta Systems, Inc. from New Mountain Capital;
  • HP Inc. in its US$1.05 billion acquisition of Samsung Electronics Co., Ltd.’s printer business;
  • Key Safety Systems, Inc. in its US$1.6 billion acquisition of all of the assets and operations of Takata Corporation (Japan);
  • Liberty Mutual Insurance Company in its US$3 billion acquisition of Ironshore Inc. (Bermuda) from Fosun International Limited (China);
  • NorStella, a portfolio company of Hg and Welsh Carson Anderson & Stowe, in its merger with Citeline, a portfolio company of Warburg Pincus LLC, at an enterprise value of US$3.9 billion;
  • Polynt Group sarl (Italy) in Black Diamond Capital Management, L.L.C.’s €1.3 billion buyout of Investindustrial (Luxembourg) from the Polynt Group;
  • SK hynix Inc. (South Korea) in its US$9 billion acquisition of the NAND memory and storage business of Intel Corporation;
  • Stone Point Capital LLC in its US$2.7 billion acquisition of approximately 45% of AmTrust Financial Services, Inc.;
  • Validus Holdings Ltd. (Bermuda) in its US$5.6 billion acquisition by American International Group, Inc.; and
  • XL Group Ltd. (Bermuda) in its US$15.3 billion acquisition by AXA SA (France).
