Rupal Joshi

Rupal Joshi focuses her practice on defending corporations and their directors and officers in complex commercial disputes, merger and acquisition-related litigation, stockholder derivative lawsuits and securities class actions. She also advises clients on the Delaware law of corporations and other corporate law issues.

Ms. Joshi’s representations include successfully trying cases to judgment, including for The Coca-Cola Company, the outside directors of Ebix, Inc. in the Delaware Court of Chancery and TravelCenters of America LLC in the Delaware Court of Chancery.

Ms. Joshi also has secured early dismissals for companies and their boards of directors in connection with litigation arising from mergers and acquisitions. Such matters have included securing the dismissal of fiduciary duty and aiding and abetting claims against Red Lion Hotels Corporation and certain of its former directors and officers in connection with the company’s 2021 merger with Sonesta International Hotels Corporation, and the dismissal of cross claims against John C. Malone in connection with an insurance dispute arising from Lionsgate Entertainment Corp.’s acquisition of Starz.

She also has advised on various other corporate litigation matters, including representing:

• Merrimack Pharmaceuticals in litigation against its convertible noteholders arising from the company’s sale of certain assets to Ipsen S.A.;
• Select Income REIT and certain members of its board of trustees in securing a complete victory on a shareholder plaintiff’s application for attorney’s fees in connection with disclosure-based deal litigation in the U.S. District Court for the Southern District of New York;
• First Potomac Realty Trust and certain members of its board of trustees in connection with disclosure-based deal litigation in the U.S. District Court for the District of Maryland;
• companies and directors in statutory proceedings under the Delaware General Corporation Law, such as actions under Section 220 for corporate books and records; and
• banks in response to subpoenas in M&A and other corporate litigation, including Evercore Partners, Inc. among others.

Ms. Joshi’s pro bono practice has included representing immigrant children in obtaining special immigrant juvenile status and legal permanent residency, as well as representing victims of domestic violence and abuse in obtaining protection from abuse orders.

During law school, Ms. Joshi completed internships with Vice Chancellor Donald F. Parsons of the Delaware Court of Chancery and at the U.S. Attorney’s Office for the District of Delaware.
