Corporate Transactional Matters

  • Central Group and SIGNA Holding GmbH in their US$5.3 billion acquisition of Selfridges & Co. Limited from the Weston Family;
  • NCR Corporation in its US$1.7 billion acquisition of Cardtronics plc;
  • Raymond James Financial, Inc. in its US$387 million acquisition of Charles Stanley Group plc;
  • CME Group Inc. in its joint venture with IHS Markit Ltd. to combine their post-trade services;
  • Royal Caribbean Cruises Ltd. in its initial US$1 billion acquisition of a 66.7% interest in Silversea Cruises and its subsequent acquisition of the remaining 33.3% interest in the company;
  • Nasdaq, Inc. in its approximately US$795 million offer to acquire Oslo Børs VPS Holding ASA;
  • Armstrong World Industries, Inc. in the US$330 million sale of its EMEA and Pacific Rim businesses to Knauf International Gmbh;
  • DH Private Equity Partners and Middenberm Group in the US$2 billion sale of TMF Group Holding B.V. to funds advised by CVC Capital Partners Limited;

National Security Matters

  • Cobham Limited, a portfolio company of Advent International Corporation, on the U.K. national security aspects of its US$3.6 billion acquisition of Ultra Electronics Holdings plc;
  • CPI International, Inc., a portfolio company of Odyssey Investment Partners, LLC, in its acquisition of TMD Technologies Ltd, a leading provider of technologically advanced equipment for radar, electronic warfare, communications and other applications; and
  • Veritas Capital in its:
    • US$1.35 billion sale of Abaco Systems, Inc., a provider of computing and electronic systems for aerospace, defense and specialized industrial markets; and
    • US$2.8 billion acquisition, along with Evergreen Coast Capital Corporation, of Cubic Corporation, a leading provider of live, virtual, constructive and game-based training solutions for U.S. and allied forces.
